    What is a dormant company?
    For Companies House, a company is dormant when it has no ‘significant accounting transactions’ during its financial year. A few things don’t count — the Companies House confirmation statement fee and payment for the initial shares, for example. Dormant is useful for protecting a company name, holding a company for future use, or pausing trading without closing down.
    Does a dormant company still have to file accounts?
    Yes. Even a company that has never traded must file dormant accounts with Companies House every year and a confirmation statement (Companies House charges its own £50 online filing fee for that). Miss the accounts deadline and late filing penalties apply exactly as they would for a trading company.
    Do I need to tell HMRC my company is dormant?
    Yes — HMRC needs to know the company is dormant for Corporation Tax, otherwise it will still expect Corporation Tax returns. We handle that notification as part of the service.
    What would make my company stop being dormant?
    Any significant accounting transaction — trading income, paying wages, most bank interest or charges — usually ends dormancy, and the company then needs full accounts. If you’re unsure whether something would break dormancy, ask us before doing it; that conversation is far cheaper than the wrong filing.
